These Terms govern your use of Simple Approvals: your account, plans and billing, your content, and the rules that apply to everyone using the service.

01Acceptance of terms

Simple Approvals is operated by Mir Hasan Siddique, a sole proprietor based in Bangladesh ("we", "us", "our"). These Terms form a binding agreement between you and us governing your use of the service. By creating an account or using Simple Approvals you agree to these Terms and to our Privacy Policy and Refund Policy. If you use the service on behalf of an organisation, you confirm you are authorised to accept these Terms for it. If you do not agree, please do not use the service.

02Eligibility & your account

You must be at least 16 years old to use Simple Approvals. We sign you in with a one-time email link rather than a password, so keep access to your email account secure. Anyone who can receive your sign-in links can access your account. You are responsible for keeping your account details accurate and for all activity that happens under your account.

03Your organisation & team

The person who creates an organisation is its owner and controls its billing and settings. Owners and admins can invite team members, assign roles, and invite external reviewers who access specific submissions through secure links. You are responsible for managing these people's access, including removing it when it is no longer needed, and for their use of the service within your organisation.

04Acceptable use

You agree not to: upload or share unlawful, infringing, or harmful content; violate anyone's intellectual-property or privacy rights; upload malware or attempt to breach, probe, or disrupt the service or its security; overload or interfere with the service or other users; reverse-engineer or copy the software except as the law allows; or use the service to store or distribute prohibited content. We may suspend or terminate accounts that breach these rules.

05Subscriptions, trials & billing

Simple Approvals offers a Free plan and a paid Pro plan; Pro starts with a 7-day free trial. Payments are processed by Paddle, acting as Merchant of Record. Paddle is the seller of record, and your invoice and card statement will show Paddle. Paid plans renew automatically until you cancel, and you authorise Paddle to charge your payment method for each renewal and for any add-ons (extra seats or storage) you buy. We may change prices or plan features, with notice for changes that affect you. You can cancel any time from your billing settings; your plan stays active until the end of the current period and then reverts to Free. Refunds are governed by our Refund Policy.

06Your content

You keep ownership of the files, submissions, and other content you and your collaborators create or upload ("Your Content"). You grant us a limited, non-exclusive licence to host, store, process, and display Your Content solely to provide and maintain the service for you. You are responsible for Your Content and confirm you have the rights needed to upload it and that it does not break the law or these Terms.

07Our intellectual property

The service, including its software, design, and the Simple Approvals name and logo, belongs to us or our licensors. We grant you a limited, revocable, non-exclusive right to use the service in line with these Terms. These Terms do not give you any right to our trademarks or to copy or resell the service.

08Third-party services

We rely on third-party providers to run the service (for example, payments, hosting, file storage, and email; see our Privacy Policy). Your purchases are also subject to Paddle's buyer terms. We are not responsible for third-party services that are outside our control, and your use of them may be governed by their own terms.

09Service availability & changes

We provide the service on an ongoing, "as available" basis and work to keep it running, but we do not guarantee it will always be uninterrupted or error-free. We may add, change, or remove features, and we may update these Terms from time to time. If we make a material change to these Terms, we will let you know by email or within the app; continuing to use the service after that means you accept the updated Terms.

10Suspension & termination

We may suspend or terminate your access if you breach these Terms, fail to pay, or where we are required to by law. You can stop using the service and delete your account at any time. When an account ends, access stops and content may be deleted in line with the retention terms in our Privacy Policy. Sections that by their nature should survive termination, such as content licences you have granted, disclaimers, and limitation of liability, will continue to apply.

11Disclaimers

To the fullest extent permitted by law, the service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the service will meet your requirements, be uninterrupted, or be error-free. Simple Approvals is a workflow tool, not a system of record, so please keep your own copies of files and decisions that are important to you.

12Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits, data, or goodwill, arising from your use of the service. Our total liability for any claim relating to the service is limited to the amount you paid for the service (through Paddle) in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including your mandatory rights as a consumer.

13Indemnity

You agree to indemnify and hold us harmless from claims, losses, and costs (including reasonable legal fees) arising from Your Content, your use of the service, or your breach of these Terms, except to the extent the claim results from our own breach or negligence.

14Governing law

These Terms are governed by the laws of Bangladesh, where we operate, without regard to conflict-of-laws rules. This does not deprive you of any protection given to you by the mandatory consumer-protection laws of the country where you live.
